If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

NexaFlow Data provides data management, analytics, and monetization services. Our platform enables:

  • Collection and aggregation of data from consented sources
  • Data processing, enrichment, anonymization, and pseudonymization
  • Analytics, business intelligence, and trend reporting
  • Compliant data monetization connecting data providers with enterprise buyers
  • API access for data integration and automated workflows

3. User Accounts

To access certain features of our Services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security and confidentiality of your account credentials
  • Promptly notify us of any unauthorized access or security breaches
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, illegal, or harmful activities.

4. Data Provider Terms

If you participate as a data provider through our platform or partner programs, the following terms apply:

  • You consent to the collection and processing of data from your connected accounts as described in our Privacy Policy.
  • You represent that you have the legal right to provide or make available the data you contribute to the platform.
  • Data will be processed in accordance with our published data handling procedures, including anonymization and aggregation.
  • Compensation, if applicable, will be determined based on the volume, quality, and value of data contributed, as outlined in the specific program terms.
  • You may withdraw from any data provider program at any time by disconnecting your account from the platform.

5. Data Buyer Terms

If you access our Services as a data buyer or enterprise client:

  • You agree to use purchased datasets only for the purposes specified in your service agreement.
  • You shall not attempt to re-identify anonymized individuals from any dataset obtained through our platform.
  • You are responsible for your own compliance with applicable data protection laws when using our datasets.
  • Redistribution, resale, or sublicensing of datasets is prohibited without our express written consent.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Engage in unauthorized data collection, scraping, or harvesting
  • Attempt to reverse-engineer, decompile, or disassemble any part of the platform
  • Interfere with or disrupt the integrity or performance of the Services
  • Transmit malicious code, viruses, or harmful software
  • Impersonate any person or entity or misrepresent your affiliation
  • Use data obtained through our Services for discriminatory, illegal, or unethical purposes

7. Intellectual Property

All content, features, functionality, software, and technology comprising the Services are owned by NexaFlow Data or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Processed datasets, analytics outputs, and derived insights generated by our platform may be subject to separate licensing terms as specified in your service agreement.

8. Payment Terms

Fees for our Services are as set forth in the applicable service agreement or pricing page. Unless otherwise stated, all fees are non-refundable. We reserve the right to modify pricing with 30 days' notice. Late payments may incur interest charges at the maximum rate permitted by law.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or that any data will be accurate, complete, or current. We are not liable for the accuracy or reliability of any data sourced from third-party providers.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXAFLOW DATA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

Our total aggregate liability for all claims arising from or related to these Terms or the Services shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless NexaFlow Data and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, upon reasonable notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall continue in effect, including intellectual property, disclaimers, limitations of liability, and indemnification.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NexaFlow Data is incorporated, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via our website or email with at least 30 days' notice. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
